Governance

Our general partner is TC PipeLines GP, Inc., an indirect wholly-owned subsidiary of TC Energy Corporation. TC PipeLines, LP is under the direction of the board of directors of our general partner, who exercise their business judgment to act in what they reasonably believe to be in the best interest of the partnership and in a manner consistent with the partnership agreement.

Affiliates of our general partner operate our natural gas pipelines, apart from Iroquois’ assets and PNGTS’ joint facilities, which are partially owned by third parties and operated by separate management.

Board of Directors

The Board of Directors of our general partner oversees the management of the partnership and consists of seven members appointed by the shareholder of the general partner. Three members are outside directors who qualify as “independent” under the rules of the New York Stock Exchange and federal securities law and four members are officers or employees of the general partner or its affiliates.

Audit Committee Charter

The Board of Directors of our general partner has an Audit Committee consisting of three independent directors. The purpose of the Audit Committee is to assist the Board with oversight of the integrity of the financial statements of the general partner and the partnership, compliance with legal and regulatory requirements, the independent auditors' qualifications and independence, the performance of the partnership's internal audit function and the independent auditors, the partnership's systems of disclosure controls and procedures and adequacy of internal controls over financial reporting, open communication among the independent auditors, the internal audit department, management and the Board of Directors and health, safety and environmental (HS&E) risk assessment and risk management policies. The members of the Audit Committee are: Jack Stark, Malyn Malquist and Peggy Heeg.
